Enterprise License Agreement

This Enterprise License Agreement (the "Agreement") is a legal agreement between you (the "Licensee") and The Northern Block Ltd (the "Licensor") for the use of font software ("Font Software") within an enterprise-level organization.

By downloading, installing, or using the Font Software, you agree to the terms and conditions of this Agreement. If you do not agree with these terms, you are not permitted to use the Font Software.

1. Number of Users

The Enterprise License grants permission for the Font Software to be used across multiple users within an enterprise organization. The license covers an unlimited number of installations and users across different departments, locations, and systems within the organization.

2. Acceptable Uses

The Font Software may be used for the following purposes:

  • Company-Wide Use: The font may be installed and used on an unlimited number of devices, servers, and systems within the enterprise, including marketing materials, internal documents, branding, and advertising.

  • Global Branding and Marketing: The font can be used in branding, marketing campaigns, printed collateral, website design, product packaging, and more across the enterprise.

  • Corporate Software & Systems: The font may be embedded and used in proprietary software applications, corporate websites, intranets, or internal tools.

  • Multiple Locations: The font can be used across different locations, offices, or branches of the enterprise.

3. Unacceptable Uses

The Font Software may not be used for:

  • Resale or Distribution: The font cannot be resold, sublicensed, or otherwise distributed outside of the enterprise unless a separate license for such use is purchased.

  • Non-Corporate Use: The font cannot be used for individual, non-corporate use, such as freelance work, personal projects, or work not directly related to the enterprise unless the appropriate individual license is purchased.

  • Merchandising: The font cannot be used in physical product merchandising (e.g., apparel, accessories) unless a Merchandise License is purchased.

4. Font Installation

The Font Software may be installed on an unlimited number of devices and across different departments or branches of the enterprise. There are no restrictions on the number of users or locations within the enterprise, but the font cannot be used for external resale or redistribution.

5. Third Party Usage

You may provide the Font Software to third-party contractors, agencies, or service providers working on your behalf, as long as:

  • They use the font exclusively for the enterprise’s project.

  • They agree to the terms of this Agreement.

  • They delete all copies of the font upon completion of the project.

You may not redistribute the Font Software to any third parties outside of those working directly for the enterprise.

6. Embedding the Font

You are permitted to embed the Font Software in proprietary software, web applications, and internal business systems. However, the font cannot be embedded in a way that allows the font to be extracted, modified, or reused outside the enterprise's systems.

7. Modifications

You may modify the presentation of the font in your enterprise systems, software, and marketing materials, such as adjusting size, color, and positioning. However, you may not modify, adapt, or create derivative works of the Font Software itself without prior written consent from The Northern Block Ltd.

8. Ownership

All rights to the Font Software remain with The Northern Block Ltd. This license grants you the right to use the font within your enterprise for the purposes specified, but you do not acquire ownership of the Font Software itself.

9. Termination

This Agreement will automatically terminate if you fail to comply with any of its terms. Upon termination, you must immediately stop using the Font Software across the enterprise and destroy all copies of the font.

10. Warranty and Liability

  • Warranty: The Licensor warrants that the Font Software will perform as expected for 30 days after installation. During this period, if any issues occur, you may contact the Licensor for support and resolution.

  • Limitation of Liability: The Licensor is not liable for any damages arising from the use of the Font Software, including lost profits or business interruptions.

11. Redistribution

You may not redistribute the Font Software to third parties for resale or distribution. The font is licensed for internal use by the enterprise only and may not be resold, transferred, or shared with others outside of your organization.

12. General Terms

  • Modifications: The Licensor reserves the right to modify the terms of this Agreement at any time. The Licensee is bound by the most current version of the Agreement.

  • Jurisdiction: This Agreement is governed by the laws of the United Kingdom.
