Logo License Agreement

This Logo License Agreement (the "Agreement") is a legal agreement between you (the "Licensee") and The Northern Block Ltd (the "Licensor") for the use of font software ("Font Software") in the creation of a logo or trademark.

By downloading, installing, or using the Font Software for your logo, you agree to the terms and conditions of this Agreement. If you do not agree with these terms, you are not permitted to use the Font Software in your logo.

1. Number of Users

The Font Software is licensed for use in the creation of a single logo or trademark. The Licensee may use the Font Software for a single logo design and may not use the font in multiple logos unless additional licenses are purchased.

2. Acceptable Uses

The Font Software may be used for the following purposes:

  • Logo Creation: The font may be used to design a logo or trademark, including for branding purposes, marketing, and identity design.

  • Trademark Registration: If you intend to register the logo or trademark created with the font, this license grants you the right to do so.

3. Unacceptable Uses

The Font Software may not be used for:

  • Multiple Logos: The font is licensed for use in the creation of one logo or trademark. If you need to use the font for additional logos, a new license must be obtained for each one.

  • E-commerce Products: The font cannot be used in products for sale (e.g., t-shirts, mugs, software, digital goods, etc.) unless an appropriate license (such as OEM or Merchandise License) is purchased.

  • Non-Logo Branding: The font cannot be used for general branding outside of a logo or trademark, unless a broader Enterprise License or Desktop License is purchased.

4. Font Installation

The Font Software may be installed on up to 5 computers for the purpose of logo design. If more users need to access the font for logo creation, each user will need to purchase a separate license.

5. Third Party Usage

You may provide the Font Software to a graphic designer or other third-party professional for the creation of the logo. The third party must:

  • Use the font exclusively for your logo design.

  • Agree to the terms of this Agreement.

  • Delete all copies of the font once the project is completed.

You may not distribute the Font Software to any other third parties for any purpose outside of logo creation.

6. Embedding the Font

Embedding the font in a logo or trademark for use in print or digital branding is permitted under this license. However, the font cannot be embedded in editable formats that would allow others to extract or modify the font. The font must remain part of the logo design and cannot be used for other purposes without additional licenses.

7. Modifications

You may modify the font by altering the logo design or adjusting the text for your branding purposes, but you may not modify, adapt, or create derivative works of the Font Software itself. The font is only licensed for use in your logo or trademark as part of the design.

8. Ownership

All rights to the Font Software remain with The Northern Block Ltd. This license grants you the right to use the font for a single logo or trademark only. You do not acquire ownership of the Font Software itself.

9. Termination

This Agreement will automatically terminate if you fail to comply with any of its terms. Upon termination, you must immediately stop using the Font Software for logo creation and destroy all copies of the font.

10. Warranty and Liability

  • Warranty: The Licensor warrants that the Font Software will perform as expected for 30 days after installation. During this period, if any issues occur, you may contact the Licensor for support and resolution.

  • Limitation of Liability: The Licensor is not liable for any damages arising from the use of the Font Software, including lost profits or business interruptions.

11. Redistribution

You may not redistribute the Font Software in any way. The font is licensed solely for the creation of your logo and may not be shared, resold, or otherwise distributed.

12. General Terms

  • Modifications: The Licensor reserves the right to modify the terms of this Agreement at any time. The Licensee is bound by the most current version of the Agreement.

  • Jurisdiction: This Agreement is governed by the laws of the United Kingdom.
