OEM License Agreement

This OEM License Agreement (the "Agreement") is a legal agreement between you (the "Licensee") and The Northern Block Ltd (the "Licensor") for the use of font software ("Font Software") in Original Equipment Manufacturer (OEM) products.

By downloading, installing, or using the Font Software in your OEM product, you agree to the terms and conditions of this Agreement. If you do not agree with these terms, you are not permitted to use the Font Software in your OEM products.

1. Number of Users

The Font Software is licensed for use in the creation of one OEM product. This license covers the use of the font in a single software application, hardware product, or digital product for resale or distribution. If you need to use the font in multiple products, you will need to purchase additional licenses.

2. Acceptable Uses

The Font Software may be used for the following purposes:

  • Software Products: The font may be embedded into software applications or digital products for resale or distribution.

  • Hardware Products: The font may be embedded into hardware products, such as embedded systems, devices, or other electronics for resale or distribution.

  • Digital Products for Sale: The font can be used in digital products that will be sold to end users, including e-books, software, or any other digital goods that are distributed commercially.

3. Unacceptable Uses

The Font Software may not be used for:

  • Non-OEM Use: The font cannot be used for print products, websites, or other projects unless the appropriate license (such as Desktop or Web License) is purchased.

  • Resale of the Font: The font cannot be resold, sublicensed, or otherwise distributed as part of a font package or as part of a service unless explicitly permitted by this Agreement.

  • Standalone Distribution: The font cannot be distributed on its own or in a format that allows the font to be extracted or reused independently of the OEM product.

4. Font Installation

The Font Software may be installed and embedded into one OEM product. If the font is embedded in multiple products, a separate license must be purchased for each product.

5. Third Party Usage

You may provide the Font Software to third-party developers or manufacturers working on your OEM product, as long as:

  • They use the font exclusively for the development of your product.

  • They agree to the terms of this Agreement.

  • They delete all copies of the font upon completion of the project.

You may not redistribute the Font Software to any third parties for any other purpose.

6. Embedding the Font

You are permitted to embed the Font Software in your OEM product for use within the product. However, the font cannot be embedded in a way that allows end users to extract or modify the font files.

7. Modifications

You may modify the font in your product for use within your software or hardware, such as adjusting the size or placement of text. However, you may not modify, adapt, or create derivative works of the Font Software itself without prior written consent from The Northern Block Ltd.

8. Ownership

All rights to the Font Software remain with The Northern Block Ltd. This license grants you the right to use the font within your OEM product, but you do not acquire ownership of the Font Software itself.

9. Termination

This Agreement will automatically terminate if you fail to comply with any of its terms. Upon termination, you must immediately stop using the Font Software in your OEM product and destroy all copies of the font.

10. Warranty and Liability

  • Warranty: The Licensor warrants that the Font Software will perform as expected for 30 days after installation. During this period, if any issues occur, you may contact the Licensor for support and resolution.

  • Limitation of Liability: The Licensor is not liable for any damages arising from the use of the Font Software, including lost profits or business interruptions.

11. Redistribution

You may not redistribute the Font Software in any way. The font is licensed solely for use in your OEM product and may not be resold, transferred, or shared with others.

12. General Terms

  • Modifications: The Licensor reserves the right to modify the terms of this Agreement at any time. The Licensee is bound by the most current version of the Agreement.

  • Jurisdiction: This Agreement is governed by the laws of the United Kingdom.
